| 摘 要： | 有限责任制度在保护债权人利益、避免法人人格滥用等方面存在局限性,法人人格否认制度正是对该制度自身局限性的完善和补充。文章对有限责任制度产生的历史背景、局限性和建立法人人格否认制度的必然性进行了介绍,并提出了在我国建立这一制度的可能性。

| Abstract: | The limited liability system has its limitations in protecting the interests of the debtors and avoiding the abuses of corporate entity. The negation system of the corporate entity just improves and supplements this system. This paper gives introductions about the historical background and its limitations of the limited liability system, and the necessity and possibility of establishing the negation system the corporate entity. |
