| 摘 要： | 公司治理的原则应该是风险承担和剩余控制权相对应，即企业中各利益相关者应该获得与他们承担的剩余风险相对应的剩余控制权，这样才能在企业中形成相互制约的机制，从而使企业总的效率最大化。本文从风险承担的角度分析了中国企业治理结构存在的问题，以及可能的解决办法。

| Abstract: | The principle of the corporate governance is that risk sharing should be conformable to the residue control rights. The stack holders of the firm should gain the adequate residue control rights corresponding to the risk they are sharing. So a mutual restricting mechanism can be formed to maximize the total efficiency of the firm. We also analyze the problems in Chinese corporate governance and the possible resolutions. |
