| 摘 要： | 从我国企业内部控制的现状出发，采取理论与实践相结合的方法，以理论为基础，同时借鉴相关的实践调研数据和资料，分析内部控制失效的原因，并提出相应的改进对策。对国有企业体制改革中的问题，尤其是企业的内部控制问题给予高度关注。
