| 摘 要： | 资产证券化是金融创新之一 ,具有复杂的结构设计 ,而且实施资产证券化需要一定的法律环境维系资产证券化的法律效力。我国目前颁布了《信托法》等法律为资产证券化奠定了一定的法律基础 ,但在特设目的载体 (SPV)的结构、真实出售、破产隔离、证券发行方面还有一定的障碍 ,需要立法进行修改或明确
