| 摘 要： | 独立董事制度是现代社会公司规模不断扩大、社会分工不断深化、公司社会责任不断增加等因素综合作用的产物，其虽发萌于英美法国家，但却正在被越来越多的国家和地区的公司法所借鉴和吸收。本文对独立董事制度在我国的发展现状及对策作了初步探讨。
