| 摘 要： | 跨国并购是当前国际直接投资的重要形式,也是我国利用外资改组改造国有企业的主要方式。从我国外资并购现状入手,分析了外资并购国有企业主要形式及并购中存在的主要问题,剖析了东风日产合资中引发的法律问题解决机制,提出完善我国外资并购法律规范的具体建议。

| Abstract: | Transnational M & A is not only an important form of foreign direct investment,but the main method for us to utilize foreign funds to rebuild state-owned enterprise as well. On the perspective of actuality,the paper analyses the main methods of foreign funds M & A domestic enterprise and existent problems in it,discusses legal issues in Dongfeng and Nissan's joint venture,brings forward specific suggestions on amending foreign M & A regulations. |
